On the 31st, Law Firm YK disclosed its strategic recruitment of Professor Kim Hwa-jin from Seoul National University School of Law. Known for his expertise in corporate governance and ESG matters in South Korea, Professor Kim joins as a consultant, bringing his extensive knowledge to the firm.

Professor Kim's contributions to corporate law in South Korea mark him as a pioneering scholar, blending theoretical insights with practical industry consultancy. His academic journey began with a mathematics degree from Seoul National University, followed by a Master of Laws from Harvard Law School and a Doctorate from the University of Munich. His academic tenure includes teaching corporate governance at renowned institutions like the University of Michigan, Stanford University, Tel Aviv University, and New York University. His research, featured in Oxford and Cambridge journals, underscores his authority in the field. Currently, he chairs Samsung Securities' Board and serves as a Senior Outside Director at Hyundai Mobis. His significant publications, such as "Ownership and Management" (2005), "Mergers and Acquisitions" (2008), and "Corporate Governance and Corporate Finance" (2010), have been acknowledged by the National Academy of Sciences of Korea as foundational texts in governance education.
In his role as Chairman of the Governance Improvement Advisory Committee of the National Pension Service and Chairman of the Voting Rights Committee at the Korea ESG Standards Institute, Professor Kim has been instrumental in institutional policy consultancy. His current focus at Samsung Securities and Hyundai Mobis centers on board management, internal control frameworks, and ESG compliance, alongside enhancing shareholder protection. His previous roles include serving as an outside director and ESG Committee Chairman at HD Hyundai and participating in the Hyundai Memorial Project Committee, culminating in the publication of "Asan Chung Ju-yung Legacy" (2021), a well-received reflection on a significant figure in Korean industry.
During a seminar on commercial law revisions, co-organized by YK and the Korea In-house Counsel Association on the 11th, Professor Kim delivered an address titled "The Future of Korean Corporate Governance and Amended Commercial Law." He emphasized the alignment of ESG initiatives and shareholder protection with legislative changes, while also questioning the national capacity to effectively implement these reforms.
Professor Kim is anticipated to guide Law Firm YK in areas such as navigating shareholder disputes and legal challenges post-commercial law reforms, safeguarding minority shareholder interests during shifts in management control, optimizing board governance and internal processes, and formulating corporate strategies within the ESG framework.
